Clients (buyers) confirm that all materials and assets they provide comply with applicable laws and do not infringe upon any third-party rights. If any materials are found to be infringing or problematic, we reserve the right to suspend the project. By submitting materials, you grant us unlimited rights to use them solely for the purpose of completing your project. We also reserve the right to refuse any project containing prohibited content, including but not limited to threats, slurs, or pornography.

Clients agree to defend, indemnify, and hold us harmless from any third-party claims related to a breach of the Terms of Service or misuse of our services. If such a situation arises, we will notify you and may take exclusive control of the defense. You agree to provide reasonable assistance in this process.

Any materials you provide, such as scripts, concepts, images, and other creative content, will be used to produce your video(s). We may create additional assets as needed, which remain our property. If a separate Non-Disclosure Agreement (NDA) was signed, its terms will apply as long as they do not conflict with the policies outlined here.

We reserve the right to discontinue work on a project or cancel it at our discretion, as well as to decline new orders. This policy is to ensure we maintain a productive, respectful, and professional working relationship with clients. If a project or collaboration no longer aligns with our standards, business practices, or dynamics, we may decide it's in the best interest of both parties to part ways. This helps us focus time and energy on projects where we can provide the most value and maintain a positive and efficient workflow.

The Client represents and warrants that all content, materials, and information provided to Envy is accurate, truthful, and not misleading. Envy will rely solely on the content, materials, and information provided by the Client. Envy does not independently verify the accuracy or completeness of such content, materials, or information and shall not be liable for any inaccuracies, errors, or omissions therein. The Client shall indemnify, defend, and hold harmless Envy (including its officers, directors, employees, contractors, and agents) from and against any and all losses, claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from or relating to any claim by a third party that the content, materials, or information provided by the Client for the produced content is inaccurate, misleading, defamatory, or infringes upon any third-party intellectual property or other rights.
